Wistale Partners Program Terms

These terms govern your participation in the Wistale Partners affiliate program ("the Program"), operated by Devteds LLC ("Wistale", "we", "us"). By applying to and participating in the Program, you ("Partner", "you") agree to these terms. Your individual account may have specific commission rates that override the defaults below; those rates appear in your partner dashboard.

1. Program overview

Wistale Partners is an invite-gated affiliate program. Approved partners receive a unique referral code and earn commission on credit-pack purchases made by customers they refer to Wistale. The program is operated by a single team and is currently in Phase 1, a small-scale, hand-managed phase while we validate demand and workflows.

2. Commission structure

• First purchase: 20% of the customer's first credit pack purchase, by default.
• Recurring purchases: 10% of each subsequent credit pack purchase by the same customer, for up to 12 months from the date the customer signed up via your referral link.
• Commissions are calculated on the gross sale amount before taxes and are paid in US dollars.
• Your account may have negotiated rates that differ from the defaults. Your current rates are displayed on your partner dashboard.

3. Attribution and cookie window

• When a visitor clicks your referral link, we set a first-party cookie valid for 90 days. If they sign up within that window, they are attributed to you.
• First-click wins: if a visitor clicks multiple partner links, the first partner's cookie is preserved until it expires.
• Attribution is limited to new Wistale accounts. Existing Wistale users who purchase via your link are not attributed retroactively.
• We cannot guarantee attribution for visitors who block tracking cookies, use private browsing, or delete cookies before signing up.

4. Commission lifecycle and refunds

• New commissions enter Pending status and wait 14 days to clear the Stripe refund window.
• After 14 days, Pending commissions are automatically moved to Approved and become eligible for payout.
• If a customer refunds their purchase within the window, the commission is reversed and removed from your balance. This applies to Pending and Approved commissions.
• Commissions already paid out are not clawed back on refund but may be adjusted against future payouts at our discretion.

5. Payouts

• Minimum payout threshold: $25. Balances below this roll over to the next month.
• During Phase 1, payouts are processed manually via Wise or PayPal within 7 days of month-end.
• You are responsible for providing accurate payment details through direct correspondence with us.
• Automated payouts via a third-party provider are planned for later in 2026. We will give at least 30 days' notice before transitioning.
• You are solely responsible for any taxes owed on commission income in your jurisdiction. Wistale does not withhold or remit taxes on your behalf in Phase 1.

6. Prohibited practices

The following practices will result in commission forfeiture and termination from the Program:

• Self-referral: using your own referral link on accounts you own or control.
• Paid search on trademarked terms: bidding on "Wistale" or brand-variant keywords in paid search or social ads.
• Coupon/deal sites that do not actively promote Wistale.
• Spam: unsolicited bulk email, forum spam, or any distribution channel that violates the platform's terms of service.
• Misrepresentation: impersonating Wistale, making unauthorized claims about product capabilities, or using Wistale's brand assets without permission.
• Incentivized signups that misrepresent the product (cashback, unrelated giveaways, bait-and-switch).
• Targeting minors: Wistale content is for children, but your audience for this program must be adults (parents, educators, caregivers).

7. Brand usage

You may use the Wistale name and logo to promote the Program, subject to our brand guidelines. You may not alter the logo, suggest an official endorsement beyond your role as an affiliate partner, or represent yourself as a Wistale employee. Contact us if you need brand assets.

8. Termination

• Either party may terminate your participation with 30 days' written notice.
• We may terminate your account immediately for violations of these terms, with any unpaid commissions forfeited.
• On termination, you must remove your referral links within a reasonable period. Commissions earned before termination and not in violation of these terms will be paid out in the next cycle, subject to the minimum threshold.

9. Changes to these terms

We may update these terms from time to time. Material changes, including commission rate changes, payout terms, or prohibited practices, will be communicated by email at least 30 days in advance. Continued participation in the Program after the effective date constitutes acceptance of the updated terms.

10. Program phase notice

Wistale Partners is currently in Phase 1. This means the Program is managed hand-to-hand by a small team, payouts are processed manually, and feature changes may happen faster than in a fully automated program. We evaluate the Program quarterly against volume and operational targets. If we transition to a third-party affiliate platform, or introduce dual-entity commission booking (US and India), partners will receive 30 days' advance notice.
